Ms. Emilia Shi, the senior partner in the Capital Markets Department of Dentons (Shanghai) Law Firm, provided comprehensive legal advice and coordination on all law-related matters throughout the project as the Wolong Electric’s legal counsel. The structure of this transaction is complex, and includes the acquisition of 100% of the equity interest of two companies of GE’s SIM businesses in Mexico, as well as the transfer of local assets and employees of the motor business of GE's related entities worldwide.
The main tasks in this project included, conducting legal due diligence on GE target companies and multiple national entities, reviewing and modifying the Purchase Agreement and its affiliate agreements, as well as all Closing documents including the Transaction Service Agreement, Global Employee Service Agreement, the local transfer agreements of the U.S., France, Italy, Mexico, Canada and other countries, representing client in participating in overseas negotiations, assisting in U.S. and Mexican antitrust filings, U.S. CFIUS national security review filings, and PRC foreign investment filing, etc. Ms. Emilia Shi’s team conducted this project with excellence, diligence and efficiency in rendering professional legal services throughout the transaction process and has won high recognition and praise from the client.
