Equity M&A/transfer

• Advised PetroChina Company Limited on its merger of a petroleum company and an industrial and trading company in Shanghai, respectively;
• Conducted due diligence and issued legal opinions on the acquisition by Shanghai Longli Energy Investment Co., Ltd. of a controlling stake in a ppetroleum ccompany;
• Advised a cattle company in Heilongjiang on its acquisition of a 100% stake in a food company in Jiangxi;
• Advised Jilin Tuopai Agricultural Products Development Group and its affiliates on their asset restructuring;
• Advised Hong Kong-based Asialnfo on due diligence for its acquisition of part of the stake in an international freight forwarder in Jiangsu;
• Advised Tianjin Sundiro Electric Vehicle Co., Ltd. on its corporate division.

Dispute resolution relating to civil and commercial matters

• Represented PetroChina Sales Co., Ltd. in litigation concerning shareholder rights dispute with a listed company (litigation concerning company dissolution), and assisted it to successfully dissolve the company and recover its investment;
• Represented PetroChina Company Limited Shanghai Sales Branch in disputes over the equity transfer contracts with a materials company and a trading company in Shanghai, and assisted it to fully receive the equity transfer price;
• Represented Shanghai Belling Co., Ltd. in a dispute with an U.S. company arising out of an infringement upon the layout designs of integrated circuit (China's first case concerning a dispute arising out of an infringement upon layout designs of integrated circuit);
• Represented Shenzhen Renergy Science and Technology Co., Ltd. in a dispute with a company in Shanghai arising out of an infringement upon the layout designs of integrated circuit (Shanghai's first case in which a judgement was issued to resolve a dispute arising out of an infringement upon layout designs of integrated circuit).

Construction

• The renovation and reconstruction project of the unfinished portion of Zhongjin International Apartment: represented the owner in negotiating the co-renovation plan with the investor; drafted the letter of intent and the cooperation agreement; and supervised the construction and apartment sales;
• The renovation and reconstruction project of Hengshan Cinema: represented Hengshan Cinema in negotiating with the investors from Hong Kong and France; finalized the co-renovation plan and made preparations for establishing a joint venture; drafted the legal documents for the cooperation; and handled lease-related matters;
• Represented Shanghai Waigaoqiao Geological Engineering Co., Ltd. in arbitration concerning a dispute over the pile foundation construction contract with GE Hydro Asia Co. Ltd., and assisted it to successfully refute the counterparty's counterclaim concerning quality-related objections and win support of the court to receive the full payment for the construction work;
• Represented Shanghai Waigaoqiao Architecture Installing Co. in a case concerning a dispute over the construction contract for a building project with a famous developer in Wuxi; the client successfully received the compensation for the losses caused by an accident occurring in concrete pouring for the foundation slab construction for a large residential quarter and the losses caused by the extended construction period;
• Represented Shanghai Baoye Jianshe Industrial Furnace Engineering and Technology Co., Ltd. in a case concerning a dispute over the construction contract for a building project with a listed company; the client fully received the payment for the construction work;
• Represented Shanghai Baoye Group Corp., Ltd. in a case concerning a dispute over the construction contract for a building project with a listed company; the client fully received the payment for the construction work.

Banking and finance

• Issued project-specific legal opinions for the Bank Of China Jiaxing Branch on its participation in a syndicated loan in the amount of RMB 255,000,000 as a participant bank, with the borrower being a paper company in Zhejiang and the arranger being the Hong Kong and Shanghai Banking Corporation Limited;
• Issued legal opinions and a lawyer's report on the issuance by Everbright Securities of corporate bonds.

Corporate compliance

• Acted as legal adviser to Sunway Group, a No. 1 real estate developer in Malaysia, and Tysan Group, a well-known real estate developer in Hong Kong, in respect of development qualifications, construction, and operation and management of real estate projects within PRC;
• Acts as long-term legal adviser to PetroChina Company Limited Shanghai Sales Branch, PetroChina Company Limited Jiangsu Sales Branch, Shanghai Baoye Jianshe Industrial Furnace Engineering and Technology Co., Ltd., Shanghai Waigaoqiao Geological Engineering Co., Ltd. and other large- and medium-sized domestic enterprises based on retainer arrangements, advises them on their internal control, compliance, contracts, labour and employment, and other matters, and represents them in disputes and arbitration and litigation.
